Kenneth C. Oh practices in the Business Law Group, with an emphasis in areas of corporate finance and securities law, mergers & acquisitions, investment banking, and broker-dealer regulation. Mr. Oh comes to Scarinci Hollenbeck after working for over 14 years at the Law Offices of Dan Brecher, a boutique securities and investment banking law firm.
Mr. Oh’s experience covers a broad range of corporate, securities, transactional and related litigation matters, representing publicly-held companies, private start-ups and growth companies, venture capital and private equity firms, entrepreneurs, high net individuals, broker-dealers, investment advisors, and other securities professionals. Areas of practice include advising issuers, underwriters and investors in public and private placements of equity and debt offerings, advising companies and investment professionals on regulatory, compliance and reporting requirements under federal and state securities laws and SRO regulations, advising boards on corporate governance matters, and advising clients on corporate transactions, including going public and private transactions, mergers, acquisitions, divestitures, tender offers, and exchange offers. He also advises clients on a variety of other business and transactional matters, including management and employee incentive and performance compensation plans, joint ventures and strategic partnering, and intellectual property licensing and technology transactions. He has extensive experience in securities and investment litigation matters.
